Ona Terms of Use Agreement

Welcome to Ona Care Technologies, Inc. ("Ona," "we," "our," or "us"). Please read these Terms of Use carefully before using our platform.
By accessing or using the website located at myonacare.com or any related services, applications, or tools (collectively, the "Service"), you agree to be bound by these Terms of Use (this "Agreement"). If you do not agree, do not use the Service.
PLEASE READ THIS AGREEMENT CAREFULLY. IT CONTAINS IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS AND OBLIGATIONS, INCLUDING LIMITATIONS ON LIABILITY, AN ARBITRATION CLAUSE, AND A CLASS ACTION WAIVER.
1. Electronic Agreement
This Terms of Use is an electronic contract that sets out the legally binding terms of your use of the Service. This Agreement is subject to change by Ona at any time, effective upon posting on the Service. By accessing and/or using the Service, you accept this Agreement and agree to the terms, conditions, and notices contained or referenced herein. Your continued use of the Service following Ona's posting of revised terms will constitute your express and binding acceptance of and consent to the revised Agreement.
2. Definitions
For purposes of this Agreement:
"Agency Partner" means a home care agency or similar business entity that has entered into a subscription or service agreement with Ona to receive access to the Service and caregiver candidate profiles.
"Caregiver Applicant" means an individual who submits personal information, participates in Ona's screening process, or otherwise seeks placement through the Service.
"Member" means any individual or entity that uses or accesses the Service, including Agency Partners and Caregiver Applicants.
"Candidate Profile" means the information and evaluation data Ona compiles on a Caregiver Applicant, including screening results and the Responsiveness Score.
"Responsiveness Score" means Ona's proprietary behavioral reliability score assigned to Caregiver Applicants based on signals gathered through the screening and matching process.
3. Description of the Service
Ona operates a B2B caregiver recruitment platform. Ona independently sources, screens, and evaluates Caregiver Applicants and delivers Candidate Profiles to Agency Partners for use in their hiring processes. Ona is not a staffing agency, an employment agency, or an employer of record. Ona does not place caregivers directly with patients or care recipients, and does not guarantee that any Caregiver Applicant will be hired by any Agency Partner.
Ona independently funds and manages its caregiver sourcing operations, including advertising on third-party platforms such as Meta (Facebook and Instagram) and Indeed. Caregiver Applicants who respond to Ona's advertisements enter Ona's platform directly and are subject to this Agreement.
4. Eligibility
You must be at least eighteen (18) years of age to use the Service. By using the Service, you represent and warrant that you have the right, authority, and capacity to enter into this Agreement and to abide by all of its terms. The Service is not available to any user previously removed or suspended from the Service.
5. Access and Account Security
You are responsible for maintaining the confidentiality of any account credentials, including usernames and passwords, and for all activities that occur under your account. You agree to (a) immediately notify Ona of any unauthorized use of your credentials or any other breach of security, and (b) exit your account at the end of each session. Ona will not be liable for any loss or damage arising from your failure to comply with this provision.
You agree to provide accurate, current, and complete information when creating or maintaining your account and to promptly update any information that becomes inaccurate.
6. AI-Powered Screening and Responsiveness Score
6.1 AI Voice Screening
As part of the caregiver intake process, Ona uses an AI-powered voice screening system to conduct pre-screening interviews with Caregiver Applicants. By submitting your information through Ona's intake process or participating in a screening call, you consent to:
Interaction with an automated AI voice agent
Recording and transcription of screening conversations
Analysis of your responses, communication patterns, and behavioral signals by automated systems
Use of screening data to evaluate your suitability for placement with Agency Partners
Ona will disclose at the outset of any AI-assisted interaction that you are speaking with an automated system.
6.2 Responsiveness Score
Ona assigns each Caregiver Applicant a Responsiveness Score based on behavioral signals gathered during and after the screening process, including response times, engagement patterns, interview scheduling behavior, and — where available — outcome data reported by Agency Partners. By using the Service, you consent to the calculation and use of a Responsiveness Score associated with your profile.
The Responsiveness Score:
Is a proprietary measure developed and maintained by Ona
May affect whether and how quickly your Candidate Profile is presented to Agency Partners
Is collected and maintained across all Agency Partners in Ona's network, not siloed to any single agency relationship
Is not the sole basis for any hiring decision; Agency Partners make independent hiring determinations
You have the right to request information about how your Responsiveness Score was calculated and to contest a score you believe is inaccurate. To do so, contact us at info@myonacare.com. We will respond within 30 days.
6.3 Cross-Agency Data Use
Your behavioral data and Responsiveness Score are maintained by Ona across its network of Agency Partners. This means that data gathered in connection with one Agency Partner may inform your profile and score when you are presented to other Agency Partners. This cross-agency use of data is a core feature of Ona's platform and is a material term of this Agreement. If you do not consent to cross-agency data use, you may not use the Service.
7. Agency Partner Terms
If you are accessing the Service as an Agency Partner, you additionally represent, warrant, and agree that:
You are an authorized representative of your organization with authority to bind it to this Agreement
You will use Candidate Profiles received from Ona solely for your own internal hiring purposes and will not share, resell, or redistribute Candidate Profiles to any third party
You acknowledge that Ona retains ownership of all Candidate Profile data, Responsiveness Score data, and underlying screening data; Agency Partners receive a limited, non-exclusive, non-transferable license to use Candidate Profiles for hiring purposes only
You will not use Candidate Profiles, Responsiveness Scores, or any other data received from Ona to build or train competing products or services
You will report hiring outcomes and relevant post-placement data to Ona as reasonably requested, which Ona may use to improve its screening and scoring systems
Your subscription fees, billing terms, and service commitments are governed by your executed service agreement with Ona, which is incorporated by reference into this Agreement
8. Prohibited Uses
You agree not to use the Service to:
Collect usernames, email addresses, or other personal data of Members by electronic or other means for the purpose of sending unsolicited communications
Scrape, harvest, or extract data from the Service using automated tools, scripts, bots, crawlers, or similar means
Attempt to reverse engineer, decompile, disassemble, or discover any source code, algorithms, or proprietary technology underlying the Service
Impersonate any person or entity or misrepresent your affiliation with any person or entity
Upload or transmit any content that is offensive, abusive, defamatory, obscene, racist, sexually explicit, or otherwise unlawful
Upload or transmit any virus, malware, spyware, or other harmful code
Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure
Circumvent or attempt to circumvent any security measures employed by Ona
Access or attempt to access data or systems not intended for your use
Use the Service in any manner inconsistent with applicable law or regulation
Resell or sublicense access to the Service without Ona's prior written consent
Use the Service to build or assist in building any product or service that competes with Ona
Unauthorized use of the Service may result in account termination and may be subject to civil and criminal liability.
9. Disclaimers
9.1 No Employment Relationship
Ona is not an employer, staffing agency, or employment agency. Caregiver Applicants are not employees or agents of Ona. Agency Partners are not employees or agents of Ona. Nothing in this Agreement creates any employment, agency, partnership, or joint venture relationship between any party and Ona.
Caregiver Applicants are solely responsible for obtaining all licenses, certifications, and qualifications required by applicable law to perform caregiving services in their jurisdiction.
9.2 No Guarantee of Placement or Hiring
Ona does not guarantee that any Caregiver Applicant will be presented to, interviewed by, or hired by any Agency Partner. Ona does not guarantee that any Agency Partner will fill any open position using Ona's Service. Candidate Profiles are provided to Agency Partners for informational purposes, and Agency Partners make all hiring decisions independently.
9.3 No Medical or Professional Advice
Ona does not provide medical advice, professional referrals, or healthcare recommendations of any kind. The Service is informational in nature only. Ona does not endorse, recommend, or warrant any Caregiver Applicant's qualifications, fitness, or competence.
9.4 No Verification Guarantee
While Ona may conduct screening processes and, in some cases, background checks, Ona does not guarantee the accuracy, completeness, or truthfulness of any information provided by Caregiver Applicants or Agency Partners. Ona cannot verify the true identity, qualifications, or credentials of any Member. Agency Partners are solely responsible for conducting their own due diligence prior to making any hiring decision.
9.5 As-Is Service
The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Ona does not warrant that the Service will be uninterrupted, error-free, or free from unauthorized access.
10. Google Services
The Service uses the following services provided by Google LLC, which are subject to Google's Terms of Service (https://policies.google.com/terms) and Privacy Policy (https://policies.google.com/privacy):
Google Analytics — To analyze website usage and improve the Service
Google Ads and Conversion Tracking — To measure the effectiveness of our advertising campaigns
Google Tag Manager — To manage tracking and analytics tools
Google Routes API — To enable location-based filtering, including proximity calculations between caregiver locations and job locations
Google Places API — To support address lookup, validation, and location reference functionality
By using the Service, you acknowledge and consent to data processing by Google in connection with the above services.
11. User Content
Ona does not claim ownership of content you submit through the Service ("Your Content"), including resumes, application materials, or profile information. However, by submitting Your Content, you grant Ona a worldwide, royalty-free, irrevocable, non-exclusive license to use, publish, distribute, modify, reproduce, and display Your Content for the purpose of operating the Service and fulfilling Ona's obligations to Agency Partners, including the preparation and delivery of Candidate Profiles.
You represent and warrant that you own or have the necessary rights to submit Your Content and that Your Content does not infringe any third-party intellectual property rights or violate applicable law.
Ona may, in its sole discretion, remove any content posted on the Service for any reason. Ona is not obligated to monitor content uploaded to the Service.
12. Intellectual Property
Ona and the Ona logos are trademarks of Ona Care Technologies, Inc. The Service and all content, features, and functionality thereof — including but not limited to software, algorithms, the Responsiveness Score methodology, text, graphics, user interfaces, and data compilations — are owned by Ona or its licensors and are protected by United States copyright, trademark, trade secret, and other intellectual property laws.
You may not copy, modify, distribute, sell, license, reverse engineer, or create derivative works of any part of the Service without Ona's prior written consent. Unauthorized use of the Service or Ona's intellectual property may result in termination of your access and may subject you to civil or criminal liability.
13. Copyright Policy (DMCA)
Ona respects the intellectual property rights of others. If you believe that content on the Service infringes your copyright, please send a notice of alleged infringement by certified mail to:

Your notice must include:
Identification of the copyrighted work you claim has been infringed
Identification of the allegedly infringing material and its location on the Service
Your name, address, telephone number, and email address
A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law
A statement, made under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner
Your physical or electronic signature
Ona will process valid notices and take appropriate action under the Digital Millennium Copyright Act, 17 U.S.C. § 512. Users who repeatedly infringe the intellectual property rights of others may have their accounts terminated.
14. Membership, Pricing, and Billing
Agency Partners' subscription fees, billing cycles, and payment terms are as set forth in their executed service agreements with Ona. By entering into a service agreement with Ona, Agency Partners authorize Ona to charge the designated payment method on a recurring basis until the subscription is cancelled in writing.
You agree to provide current, accurate, and complete billing information and to promptly update that information if it changes. Ona reserves the right to correct billing errors even if payment has already been processed.
Ona does not offer prorated refunds for subscription fees paid for a current billing period upon cancellation, except as expressly set forth in your service agreement.
15. Modifications and Termination
Ona reserves the right to modify, suspend, or discontinue the Service, or any part thereof, at any time with or without notice. Ona is not liable to you or any third party for any modification, suspension, or discontinuance of the Service.
Ona may terminate your access to the Service at any time, for any reason, by providing notice to the email address associated with your account. You may terminate your membership at any time by emailing info@myonacare.com. Upon termination, your right to use the Service ceases immediately.
Sections that by their nature should survive termination — including Sections 6, 11, 12, 17, 18, 20, 21, and 22 — shall survive any termination of this Agreement.
16. Third-Party Content and Links
The Service may contain links to third-party websites or content. Ona does not control, endorse, or adopt any third-party content and is not responsible for its accuracy or completeness. Your use of third-party websites is at your own risk and subject to those websites' own terms and privacy policies.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ONA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST DATA, LOSS OF GOODWILL, PHYSICAL INJURY, PROPERTY DAMAGE, OR EMOTIONAL DISTRESS, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ONA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ONA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) $500.00 OR (B) THE TOTAL AMOUNT PAID BY YOU TO ONA IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
18. Indemnification
You agree to indemnify, defend, and hold harmless Ona, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service in violation of this Agreement; (b) your violation of any applicable law or regulation; (c) your Content or any content you submit to the Service; or (d) any dispute between you and another Member or third party.
19. Communications
By providing your contact information, you consent to receive communications from Ona, including by email, phone, and SMS. Standard message and data rates may apply. You may opt out of marketing communications at any time by emailing info@myonacare.com, clicking "unsubscribe" in any email, or replying STOP to any text message. Opting out of marketing communications will not affect transactional or service-related communications.
20. Dispute Resolution and Arbitration
Except where prohibited by law, any dispute, claim, or controversy arising out of or relating to this Agreement or the Service shall be resolved by binding arbitration on an individual basis, without resort to any form of class action. The arbitration shall be conducted in Kern County, California. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. If this class action waiver is found unenforceable, the entire arbitration provision shall be null and void.
Any post-arbitration action to enforce an arbitration award or to seek equitable or injunctive relief shall be brought exclusively in the state or federal courts located in Kern County, California.
21. Governing Law
This Agreement is governed by the laws of the State of California, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the state and federal courts located in Kern County, California for any dispute not subject to arbitration under Section 20.
22. General Provisions
Entire Agreement. This Agreement, together with Ona's Privacy Policy (https://www.myonacare.com/privacy-policy) and any executed service agreement between you and Ona, constitutes the entire agreement between you and Ona with respect to the Service.
Severability. If any provision of this Agreement is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
Waiver. Ona's failure to enforce any provision of this Agreement shall not constitute a waiver of its right to enforce that provision in the future.
Assignment. You may not assign or transfer your rights or obligations under this Agreement without Ona's prior written consent. Ona may freely assign this Agreement in connection with a merger, acquisition, or sale of all or substantially all of its assets.
Headings. Section headings are for reference only and do not affect the interpretation of this Agreement.
Amendment. Ona may update this Agreement at any time by posting revised terms on the Service. Your continued use of the Service after any update constitutes your acceptance of the revised Agreement.
No Third-Party Beneficiaries. This Agreement does not create any rights enforceable by third parties.
23. Children
The Service is not directed to individuals under the age of 18. Persons under 18 are not permitted to use the Service or provide Ona with any personal information.

Ona Care Technologies recommends that this Terms of Use be reviewed by qualified legal counsel before publication, particularly with respect to the AI screening consent provisions (Section 6), the cross-agency data use disclosure (Section 6.3), and the arbitration clause (Section 20).
